Kendryl and all subsidiaries, hereafter named kendryl - Acceptable Use Policy ("AUP") is subject to all definitions of the Master Agreement or any other agreement related to or connected to this AUP. kendryl and Customer accepts and ratifies the terms and conditions of this AUP. Customer's use of kendryl Services constitutes acceptance and agreement of the terms and conditions of this AUP. Now, therefore, both parties herein mutually agree to the following, and additional, Acceptable Use Policy:

1) As used in this AUP, "Subscriber" shall mean the end-user or subscriber to Customer's Internet-based products and services. Customer agrees to strictly enforce all provisions of this AUP with its Subscribers. Should Customer fail to enforce this AUP or be unable to comply with the network guidelines set forth by kendryl from time to time, kendryl may take such action as it deems necessary to protect the integrity of its network and resolve any AUP violation, including but not limited to, denying further access to particular Subscribers or filtering as needed.

2) Customer / Subscriber agrees to comply with the rules, regulations and policies applicable to any network, server, computer database, web site, newsgroup or ISP that is accessed through kendryl services. Any violation of such rules, regulations or policies may serve as cause for kendryl to suspend or terminate service as provided herein.

3) kendryl reserves the right, WITHOUT NOTICE, TO SUSPEND the services provided upon the first or subsequent occurrence of any of the following events which may, in kendryl's sole discretion, pose a risk to its network integrity or security:

a) the service is used to attempt to break security, or in fact, to break security of any computer network, to access an account which does not belong to Customer/Subscriber; or any other act of a malicious nature which may reasonably result in harm or damage to another user's service, equipment, or privacy, including, but not limited to, any act of fraud;

b) mail-bombing, (sending mass amounts of email to one recipient or system), with the intent to rendering aforementioned system(s) inoperable;

c) Syn-flood attacks, (to overburden a recipients computer system by sending a high volume of spurious data which effectively impedes functionality, or totally disables recipient system(s), and any other methods of denial of service;

d) It is brought to kendryl's attention or kendryl otherwise gains knowledge that the service is used to facilitate primarily a business involving the sale or distribution of illegal messages, images, or copyrightable materials.

Customer / Subscriber agrees that its customers must be bound to these same restrictions, and that such violation(s) by its customers may be deemed to be a material breach by Customer / Subscriber.

4) kendryl reserves the right, UPON TEN (7) DAYS' NOTICE, TO SUSPEND the services provided, upon the first or subsequent occurrence of any of the following events, until such Customer/Subscriber has remedied any of the following:

a) failure to notify kendryl of any unauthorized use of your account, and / or any breach, or attempted breach, of security known to Customer / Subscriber;

b) The service is used in a manner which is intended to abuse or to violate the privacy or property rights of others;

c) Customer / Subscriber's delivery of unsolicited bulk mail messages ("junk mail" or "spam mail").

d) The service is used in a manner which constitutes a violation of any tariff, regulation, treaty or law (including, without limitation, copyright, privacy, criminal and international law.);

e) posting commercial messages to a USENET group without approval by the specific USENET group in its charter;

f) forgery of electronic mail headers (addresses), or any other method used to disguise Customer/Subscriber's identity

g) unauthorized relays through any third party systems;

Customer / Subscriber agrees that its customers must be bound to these same restrictions, and that such violation(s) by its customers may be deemed to be a material breach by Customer / Subscriber.

5) kendryl reserves the right, with or without notice, and at kendryl's sole and absolute discretion, to TERMINATE the services provided, upon any of the following:

  • excessive violations (which may vary depending on severity) of any of the above, or

  • as required by law, rule, judicial or administrative ruling, provided, however, kendryl will use best efforts to supply as much advance notice as may be permitted, or

  • Customer or Subscriber's failure to rectify within the allotted time.
